Mike is in his 35th year practicing law in Baton Rouge, Louisiana.  He began with a small 6 person firm that grew to more than 20 lawyers, then merged with a large multi-state firm.  He returned to a solo and small firm practice in 2011, and began in an Of Counsel role with the Baringer Law Firm January 1, 2015. His practices focuses on business transactions and civil law matters, principally including the following:

Business transactions: preparation, review, negotiation, interpretation, dispute resolution, and related matters pertaining to contracts and other transaction documentation.

Business organizations and operations: choice of entity, formation and organization, capitalization, governance, compliance with governmental regulation, and related matters for small and larger businesses.

Property: real estate acquisition, sales, financing; lease preparation, review, structure and negotiation for both landlords and tenants, commercial and residential; representation of developers of both commercial and residential property, and homeowners associations; preparation of restrictive covenants, conditions, and restrictions, and other land use matters.

Finance: business and personal loans, negotiation of lending terms, review, negotiation, and preparation of all financing documentation involving institutional lenders and other forms of non-conventional financing and equity structures.

Technology: preparation, review, and negotiation of technology contracts, licenses, and ventures.

Intellectual property: advice regarding the creation, maintenance and preservation of copyright, trademark, and other forms of intellectual property rights.

Wills and estates: preparation of simple wills, living wills, powers of attorney, medical powers of attorney, and related documents, and handling probate matters.

Workouts and Bankruptcy: creditor, acquirer and trustee representation, including proofs of claim, defense of preference and other avoidance actions, acquisition, lending and other transactions with Chapter 11 debtors and Trustees.
